Terms & conditions.

The terms below govern quotations, orders and the supply of refurbished IT equipment by Toronto Computers Trading LLC. They apply alongside any signed sales agreement.

1. About these terms

These terms and conditions ("Terms") apply to all quotations, order confirmations, sales and supply of goods by Toronto Computers Trading LLC ("Toronto Computers", "we", "us"), a company registered in Sharjah, United Arab Emirates. By requesting a quotation or placing an order you accept these Terms. Where a separate written supply agreement is signed between the parties, that agreement takes precedence over any conflicting provision here.

2. Quotations and orders

  • Quotations are valid for the period stated on the quotation and, failing that, for 14 days from issue.
  • Stock is offered subject to availability at the time an order is confirmed. Quantities, configurations and cosmetic grades are indicative until confirmed in a written order acknowledgement.
  • An order is binding once we issue a written order confirmation or proforma invoice and the agreed deposit or payment is received.
  • Prices are quoted exclusive of taxes, duties and shipping unless expressly stated, and are based on the Incoterms rule named on the quotation.

3. Product condition and grading

All equipment is professionally refurbished pre-owned enterprise hardware unless described otherwise. Cosmetic condition is communicated using our grading scale (Grade A, B or C), described on the Our Inventory page. Grading describes appearance only; all supplied units are function-tested. Minor variation in port layout, sub-model, keyboard localisation or included accessories may occur within a batch and does not constitute a defect.

4. Payment

  • Payment terms are stated on the proforma invoice. Unless agreed otherwise, orders are prepaid or secured by an agreed deposit with the balance due before dispatch.
  • Bank charges for international transfers are borne by the buyer.
  • Title to the goods passes to the buyer only once payment has been received in full. Risk passes in accordance with the agreed Incoterms rule.

5. Data sanitisation

All data-bearing devices are processed through certified data sanitisation aligned with recognised international ITAD standards before supply. Erasure or destruction reporting is available on request. The buyer is responsible for data written to devices after delivery.

6. Delivery, export and logistics

  • Lead times are estimates given in good faith and run from the date an order is confirmed and secured.
  • We prepare standard export documentation for the agreed Incoterms rule. Import clearance, local duties, licensing and compliance in the destination country are the buyer's responsibility.
  • Where we arrange freight on the buyer's behalf, we do so as agent and are not liable for carrier delay, loss or damage beyond the agreed Incoterms allocation.

7. Warranty and claims

  • Functional warranty, where offered, is stated on the order confirmation and typically applies to bulk purchases. It covers functional failure not caused by misuse, and excludes cosmetic condition, consumables and batteries beyond their stated health range.
  • Shortage or transit-damage claims must be notified in writing within 7 days of delivery, with supporting photographs and packing evidence.
  • Functional claims must be notified within the warranty period with model, serial number and a description of the fault. Our liability is limited, at our option, to repair, replacement or credit of the affected units.

8. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or in connection with any order is limited to the invoice value of the goods giving rise to the claim. We are not liable for indirect or consequential loss, loss of profit, loss of business or downtime.

9. Compliance

The buyer confirms that it will comply with all applicable export controls, sanctions and import regulations, and that the goods will not be resold or diverted in breach of them.

10. Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah, and the parties submit to the exclusive jurisdiction of its courts, without prejudice to any arbitration clause in a signed supply agreement.
